Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Spexd (“Spexd”, “we”, “us”), a software-specification traceability tool that helps teams link requirements, acceptance criteria, design, and tasks. By accessing or using Spexd you agree to these Terms. If you do not agree, you may not use the service. How we handle your information is described separately in our Privacy Policy, which is part of these Terms.
Who may use Spexd
You may use Spexd only if you can form a binding contract with us and are not barred from doing so under applicable law. If you use Spexd on behalf of an organization, you represent that you are authorized to accept these Terms for that organization, and “you” refers to both you and that organization. Spexd is a tool for software teams and is not directed at children.
Your account
Authentication is handled by our identity provider, Clerk. You are responsible for the activity that happens under your account and for keeping your credentials secure. Every account belongs to an organization, and your access to data is scoped to your organization. Notify us promptly if you believe your account has been used without your authorization.
Acceptable use
When using Spexd, you agree not to:
- Attempt to access, read, or modify data belonging to another organization, or otherwise circumvent the access controls that isolate each organization's data.
- Reverse engineer, decompile, or attempt to extract the source code of the service, except to the extent this restriction is prohibited by applicable law.
- Probe, scan, or test the vulnerability of the service, or breach or circumvent any security or authentication measures, without our prior written permission.
- Use the service to store or transmit unlawful, infringing, or harmful content, or to violate the rights of others.
- Interfere with or disrupt the integrity or performance of the service, including through automated scraping, excessive request volumes, or denial-of-service activity.
Your content
The specifications you author in Spexd — features, requirements, acceptance criteria, designs, tasks, and the links between them, along with any text or documents you add to them (“Your Content”) — belong to you. We claim no ownership over Your Content. You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely to provide and maintain the service for you and your organization.
You are responsible for Your Content and for ensuring you have the rights needed to submit it to Spexd. We do not pre-screen Your Content, but we may remove content or suspend access where we reasonably believe it violates these Terms or applicable law.
AI features and connected tools
Spexd offers AI-assisted features and a Model Context Protocol (MCP) server that lets you connect external AI assistants and agent tools to your workspace. When you use these features, Your Content may be processed as described in our Privacy Policy. Any assistant, agent, or third-party tool you connect through the MCP server is operated by you or a third party and handles your data under its own terms, not these Terms. You are responsible for the tools you choose to connect and for the access you grant them.
Our intellectual property
Spexd, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the service; they do not transfer any ownership of the service to you. All rights not expressly granted are reserved.
Fees
Spexd is currently provided during early access at no charge. If we introduce paid plans in the future, we will make the applicable pricing and billing terms available before any fees apply to you, and your continued use after that point will be subject to those terms.
Service availability
Spexd is an early-stage product and is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not guarantee that the service will be uninterrupted, error-free, or that any data will be preserved. We may modify, suspend, or discontinue any part of the service at any time.
Limitation of liability
To the fullest extent permitted by law, Spexd and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or relating to your use of the service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to indemnify and hold harmless Spexd from any claims, damages, liabilities, and expenses arising out of your use of the service, Your Content, or your violation of these Terms or of any applicable law or the rights of a third party.
Termination
You may stop using Spexd at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably need to in order to protect the service or other users. On termination, your right to use the service ends. Handling and deletion of your data following termination is described in our Privacy Policy. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
Governing law and disputes
These Terms are governed by the laws applicable where Spexd is established, without regard to conflict-of-laws principles. You agree to resolve any dispute arising out of or relating to these Terms or the service in the courts of that jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. If a change is material, we will take reasonable steps to let you know. Your continued use of Spexd after a change takes effect constitutes acceptance of the updated Terms.
